Vadim Kovalyov is a Principal Associate of the Corporate practice at CLS.
Vadim is part of the team providing support for projects related to corporate and commercial law, M&A, direct investment, issues of corporate reorganization and management. One of the projects in which Vadim was involved as a member of the Corporate Practice made the top 10 list for M&A in Russia.
Vadim’s expertise covers issues of data protection and e-commerce. He is engaged in activities of the Roskomnadzor Center of Competence in the field of Personal Data. Vadim also specializes in a wide range of regulatory issues in various sectors of the economy, including retail, chemical, pharmaceutical, energy and transport industries.
Vadim has been practicing law for more than 10 years, most of which was at CLS. He started his career at CLS as a Paralegal.
The Corporate practice, of which Vadim is a part, traditionally takes high positions in international and national legal ratings, such as The Legal 500, Chambers Europe and Pravo-300.

Recent projects
- Elaboration of the structure of and support for the deal on sale of the Severnaya and Voiskovitsy poultry plants to a major Thai agricultural holding. In addition to corporate law issues, the project required support in antitrust and strategic investments law, as well as turnover of agricultural land. The deal amounting to 680 million dollars was included in the top 10 deals on the Russian market in 2015 and was completed in 2018;
- Consulting a major global cloud technology company on issues of creating data centers in CIS countries and import of IT hardware;
- Legal support for a major Russian bank on entering a project on construction of an airport land side complex and adjacent infrastructure, including negotiating the agreement on sale and purchase of a share, the shareholders agreement for future shareholders, documenting security rights and options, as well as study and analysis of the legal status of a company an its affiliates;
- Comprehensive due diligence of a Russian company for purposes of its subsequent acquisition by a Chinese buyer. In the course of work on the project, the IP rights were assessed, restrictions on export control were determined and potential risks of international sanctions were revealed;
- Support for a major British retailer in entering the Russian market and organizing sales of goods through e-commerce;
- Consulting a multinational pharma concern on issues of personal data processing and preparation of personal data security documents, subject to GDPR and Russian personal data laws;
- Consulting a leading global supplier of solutions in packaging materials for pharma and cosmetics goods concerning arranging a Compliance & Ethics hotline for Russian personnel.
